Terms of service

These Terms of Service ("Terms") govern your access to and use of HaleAI, an AI-native team operating system for US real estate teams provided by HaleAI ("we," "us," or "HaleAI"). By signing up or otherwise using the platform, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally authorized to enter into agreements on behalf of the real estate team you represent. If you sign up on behalf of a team, you represent that you have the authority to bind that team to these Terms.
2. The service
HaleAI provides software that runs AI specialists (Lōkahi, Kai, Nalu, Leilani, Kupono, Kalani, Hoa, Mahina) on behalf of a real estate team. Specialists read tenant data, draft outbound communication, and execute approved actions through configured providers (email, SMS, MLS, CRM, calendar). The platform is provided on a subscription basis with usage-based charges layered on top, as described below.
3. Account responsibility
You are responsible for protecting your credentials and for all activity on the account. Owners are responsible for granting and revoking access for team members. We require multi-factor authentication for owner accounts.
4. LLM usage and cost responsibility
The team owner is responsible for all LLM usage charges incurred on the account, in addition to the HaleAI subscription fee. LLM charges are computed from per-(provider, model) token counts captured on every model call and are billed monthly in arrears. Owners can set a daily cost cap on /dashboard/settings/cost-cap to limit the upper bound; the cap is best-effort and is not a hard transactional limit. HaleAI is not liable for charges incurred above the cap due to in-flight requests, third-party provider price changes, or runaway workflows initiated by the team's actions.
5. SMS, TCPA, and consent
When a team configures a Twilio SMS connection on /dashboard/settings/sms-connect, outbound and inbound text messages route through that team's Twilio account. Specifically:
- The team is the sender of record for all outbound SMS sent through their Twilio account. The team is responsible for compliance with the federal Telephone Consumer Protection Act (TCPA), state-level analogs, and CTIA messaging principles.
- Prior express consent. Outbound messaging is gated through the Kupono compliance check, which inspects the recipient's consent flag on the Contact record. Teams are responsible for the accuracy of the consent record.
- STOP / opt-out. Recipients of automated SMS may reply STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to opt out. Twilio applies the opt-out at the carrier level; HaleAI also flips the Contact's consent flag on receipt of the keyword. HELP returns informational copy. Message and data rates from the recipient's carrier may apply.
- A2P 10DLC. US 10-digit long-code numbers must be registered for Application-to- Person messaging through Twilio. Until brand and campaign registration is complete, sends will throttle and may be blocked by carriers. Teams are responsible for completing this registration.
- Time-of-day and frequency limits. Teams must comply with their state's quiet-hour rules and their MLS's outbound-frequency rules.
HaleAI is not liable for fines, penalties, or claims arising from a team's failure to follow TCPA, CAN- SPAM, MLS rules, state advertising rules, or Fair Housing law.
6. Email
Outbound email sends through Resend on the HaleAI brand domain by default; teams may connect a Gmail mailbox at /dashboard/settings/email-connect to send through their own account. CAN-SPAM applies to bulk commercial messages; the team is responsible for compliance with CAN-SPAM, including accurate-from-line, opt-out, and physical-address requirements where applicable.
7. MLS data
Listing data pulled through a configured MLS connection is licensed to the team by their MLS and is subject to that MLS's display rules. Teams must respect the MLS's restrictions on photo modification, derivation, attribution, and display context. HaleAI's compliance gate applies known MLS rules but ultimate responsibility rests with the team.
8. Acceptable use
You may not use HaleAI to:
- Violate any law, including Fair Housing, anti-discrimination, telemarketing, anti-spam, or MLS rules.
- Send messages to recipients who have not provided appropriate consent, or after they have opted out.
- Attempt to circumvent the compliance gate, the trust ladder, the cost cap, or the audit log.
- Use the platform to harass, defraud, or harm any person.
- Abuse rate limits, attempt to exhaust other tenants' resources, or reverse-engineer our services.
9. Subscription, billing, and cancellation
Subscription fees are billed in advance through Stripe; LLM usage charges are billed in arrears on the same monthly cycle. Either party may cancel the subscription at the end of the current billing period; upon cancellation, the tenant retains access until period-end, and account data is deleted on a rolling 30-day schedule (audit logs retained 7 years per the privacy policy).
10. Disclaimer of warranties
The platform is provided "as is" and "as available." We disclaim all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI specialists draft language and propose actions; the team is responsible for reviewing and approving every outbound communication.
11. Limitation of liability
To the maximum extent permitted by law, HaleAI's aggregate liability for any claim arising out of or relating to these Terms or the platform shall not exceed the amount the team paid HaleAI in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business, or lost data, even if advised of the possibility.
12. Indemnification
The team agrees to indemnify and hold HaleAI harmless from claims arising out of the team's violation of these Terms, applicable law (including TCPA, CAN-SPAM, Fair Housing, and MLS rules), or third-party rights.
13. Governing law
These Terms are governed by the laws of the State of Hawaii without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Honolulu County, Hawaii.
14. Changes
We may update these Terms from time to time. We will post the updated version here and update the "Last updated" date. Continued use after the change constitutes acceptance.
